Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Bookeo MCP service at https://bookeo.iotashan.com (the "Service"), operated by iotashan LLC (Shannon Hicks) (the "Operator," "we," "us"). By accessing or using the Service, you ("you" or the "User") agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is
1.1. Bookeo MCP is a hosted, multi-tenant remote MCP (Model Context Protocol) server. It acts as a neutral conduit that lets you connect your Bookeo (https://www.bookeo.com) booking account to an AI assistant of your choosing (for example, Claude or ChatGPT).
1.2. Once you authorize the connection, your AI assistant can issue MCP tool calls that the Service proxies to the Bookeo API on your behalf — for example, to check availability, manage bookings, look up customers, and (only if you explicitly grant the relevant permission scopes) view or collect payments.
1.3. We are only the connector. We are not Bookeo, we are not affiliated with or endorsed by Bookeo, and we are not the vendor of your AI assistant. We do not control, and are not responsible for, Bookeo or any AI assistant you connect.
1.4. Subscriptions and fees. Connecting your Bookeo account is free; using the tools may require a paid subscription (from US$1/month). Subscriptions are billed through Stripe, recur until cancelled, and you can manage or cancel them at any time via the billing page. Fees are non-refundable except where required by law. We may change pricing prospectively with notice via the site.
2. Eligibility
You may use the Service only if you are authorized to bind the business on whose behalf you act, are authorized to connect the relevant Bookeo account, and are of legal age to enter into a binding contract. By using the Service you represent that all of this is true.
3. The connection, permissions, and your responsibility
3.1. You choose what to connect and what to allow. You decide which AI assistant to connect, which Bookeo account to connect, and which Bookeo permission scopes to grant during authorization. Those scopes are baked into the API key you authorize and determine what your assistant can do through the Service.
3.2. You are solely responsible for: how you use the Service; the AI assistant you connect; the permission scopes you grant; and everything your AI assistant does through the connection, including any read, write, modification, cancellation, deletion, or payment action.
3.3. Least privilege. Granting write, delete, or payment scopes is entirely at your own risk. We strongly recommend you grant only the least privilege necessary for your needs.
4. Use with caution — AI assistants can cause harm
Important risk warning. AI assistants can act unpredictably. An assistant connected through the Service may take destructive or erroneous actions — including modifying, cancelling, or deleting bookings or customer records, or collecting payments — without your specific case-by-case approval.
4.1. You acknowledge and accept this risk. You are responsible for reviewing what your assistant does and for any consequences of its actions.
4.2. To the maximum extent permitted by law, the Operator is not responsible or liable for any action taken by you or your AI assistant through the Service, or for any resulting data loss, financial loss, business interruption, or other harm — even catastrophic harm to your business. Maintain your own backups and safeguards.
5. Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- abuse, overload, disrupt, or attempt to degrade the Service or its infrastructure;
- attempt to access another tenant's data, connections, or credentials;
- circumvent, disable, or probe the Service's authentication, authorization, or security controls; or
- reverse engineer or interfere with the Service except as permitted by law.
We may suspend or terminate access for any violation.
6. Third-party services; Bookeo
6.1. The Service depends on third parties (including Bookeo, your AI assistant vendor, and our infrastructure providers). We are not responsible for their acts, omissions, availability, or terms.
6.2. "Bookeo" is a trademark of its owner. We are not affiliated with, sponsored by, or endorsed by Bookeo. Your use of Bookeo through the Service remains subject to Bookeo's own terms of service, and you are responsible for complying with them.
7. The Service is provided "AS IS"
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE, OR THAT IT WILL MEET YOUR REQUIREMENTS. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.
8. Limitation of liability
8.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY.
8.2. Aggregate cap. The Operator's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid to the Operator for the Service in the three (3) months immediately before the event giving rise to the claim, or (b) US$50.
8.3. Low-cost service. The Service is offered free to connect and from US$1/month to use. Where no fees have been paid, the cap in Section 8.2 is US$50.
8.4. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.
9. Indemnification
You will indemnify, defend, and hold harmless the Operator from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) actions taken by your AI assistant through the Service; (c) your Bookeo account or data; or (d) your breach of these Terms or violation of any law or third-party right.
10. Changes, suspension, and discontinuation
We may modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice. We may also update these Terms from time to time; we will post the updated Terms at the Service, and your continued use after they take effect constitutes acceptance. If you do not agree to the updated Terms, stop using the Service.
11. Termination
You may stop using the Service at any time and disconnect your account (see the Privacy Policy for what disconnecting does to your stored data). We may suspend or terminate your access at any time, including for violation of these Terms. Sections that by their nature should survive termination (including Sections 4, 7, 8, 9, 12, and 13) will survive.
12. Governing law and dispute resolution
These Terms are governed by the laws of Wisconsin, USA, without regard to its conflict-of-laws rules. You and the Operator agree that the state and federal courts located in Wisconsin, USA will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue there.
13. General
13.1. Severability. If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
13.2. No waiver. Our failure to enforce any provision is not a waiver of it.
13.3. Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and the Operator regarding the Service and supersede any prior agreements on that subject.
13.4. Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
